Terms of Service

These Terms of Service ("Terms") govern your access to and use of chatpingo.com and the ChatPingo application (the "Service"), provided by ChatPingo Infrastructure ("ChatPingo," "we," "us"). By creating an account or using the Service, you agree to these Terms. If you're using the Service on behalf of a business, you're confirming you have authority to bind that business, and "you" refers to that business.

1. The Service

ChatPingo lets you connect a WhatsApp number you own or are authorized to use, manage contacts, send campaigns and individual messages, automate replies (including AI-generated replies), and receive real-time events via webhooks. ChatPingo connects to WhatsApp using the open-source Baileys library, which implements the same protocol as WhatsApp Web — it is not an official WhatsApp Business Platform integration and is not affiliated with, endorsed by, or sponsored by WhatsApp Inc. or Meta Platforms, Inc.

2. Your account

  • You must provide accurate registration information and keep your login credentials confidential.
  • You're responsible for all activity that happens under your account, including through any API keys or team members you add.
  • You must be legally able to enter a binding contract to use the Service.
  • Notify us immediately at hello@chatpingo.com if you suspect unauthorized access to your account.

3. Acceptable use

You agree not to use the Service to:

  • Send unsolicited bulk messages, spam, or messages to contacts who haven't consented to receive them.
  • Violate WhatsApp's own Business Messaging Policy and Terms of Service, or attempt to circumvent WhatsApp's rate limits or anti-abuse systems in a way likely to get numbers banned en masse.
  • Send content that is illegal, fraudulent, deceptive, defamatory, or that infringes someone else's rights.
  • Distribute malware, or attempt to interfere with or disrupt the Service's infrastructure.
  • Resell or sublicense the Service without our written agreement (a dedicated Partner Program exists for this — see partner.chatpingo.com).
  • Use another person's WhatsApp number without their authorization.

You are solely responsible for the content of messages you send and the contacts you message through the Service. WhatsApp numbers used through ChatPingo remain subject to WhatsApp's own terms, and WhatsApp may independently restrict or ban a number for policy violations — ChatPingo has no control over WhatsApp's enforcement decisions and is not liable for numbers banned or restricted by WhatsApp.

4. Subscriptions, billing, and cancellation

  • Paid plans are billed in advance on a recurring basis (monthly or annually, as selected), processed by our payment partners MamoPay (card) or Paychainly (crypto).
  • Fees are non-refundable except where required by law or expressly stated otherwise.
  • If a renewal payment fails, we may suspend access to paid features after a grace period; usage-based add-ons (such as AI tokens) are billed as consumed.
  • You can cancel your subscription at any time from Settings; cancellation takes effect at the end of the current billing period.
  • We may change our pricing with reasonable advance notice; continued use after a price change takes effect constitutes acceptance.

5. Your content and data

You retain all rights to your contacts, message content, and other data you upload to the Service ("Your Content"). You grant ChatPingo a limited license to host, process, and transmit Your Content solely to provide the Service to you. As between you and ChatPingo, you remain the data controller for your contacts' personal data, and are responsible for having a lawful basis to message them — see our Privacy Policy for more on this split of responsibility.

6. AI features

If you enable AI-generated auto-replies or other AI-assisted features, message text is sent to our AI provider (OpenAI) to generate a response. AI-generated replies can be inaccurate — you're responsible for reviewing how these features behave for your use case and for any message sent under your account, whether written by you or generated by the feature.

7. Service availability

We aim to keep the Service available and reliable, but we don't guarantee uninterrupted access. The Service may be unavailable during maintenance, or due to issues with WhatsApp's own infrastructure, our hosting providers, or events outside our reasonable control. We'll make reasonable efforts to notify you of planned maintenance affecting the Service materially.

8. Intellectual property

The Service, including its software, design, and branding, is owned by ChatPingo and protected by intellectual property law. These Terms don't grant you any rights to our trademarks or branding beyond what's needed to use the Service normally.

9. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms (including the Acceptable Use section above), if required by law, or if your account is inactive with an unpaid balance for an extended period. We'll give notice where reasonably possible before termination for breach, except in cases of serious or repeated violations.

10. Disclaimers and limitation of liability

The Service is provided "as is" without warranties of any kind, express or implied, to the maximum extent permitted by law. ChatPingo is not liable for indirect, incidental, or consequential damages, or for numbers restricted or banned by WhatsApp, arising from your use of the Service. Nothing in these Terms limits liability that cannot be limited under applicable law.

11. Changes to these Terms

We may update these Terms from time to time. For material changes, we'll notify registered users by email or an in-app notice before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing law

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
